1.0 NAME OF CLUB
The club shall be called the Windsor Intellectual Property and Information Technology Club. (hereinafter WIPIT)

2.0 AIMS AND OBJECTIVES
WIPIT aims to broaden the knowledge of its members with respect to issues pertaining to matters related to, but not limiting intellectual property and information technology. WIPIT hopes to achieve these aims in part through speaker series, participation in symposia, discussion groups, and general meetings.

3.0 ELIGIBILITY FOR MEMBERSHIP
All full-time and part-time students who are registered in the Bachelor of Laws program at the Faculty of Law, University of Windsor, and Professors of the Faculty of Law, University of Windsor are members of the Students' Law Society and are thus eligible to join the club.

4.0 MEMBERSHIP FEES
There are no membership fees required to join WIPIT. Members will be expected to participate in club meetings and events and to generally take part in advancing the aims and objectives of WIPIT.

5.0 EXECUTIVE STRUCTURE
WIPIT executive structure shall consist of one (1) president, one (1) vice-president, and one (1) secretary.

6.0 ELECTION PROCEEDURES
WIPIT executive will be elected by way of secret ballot vote at the last meeting of the academic year. The academic year for the purposes of this constitution shall commence on May 1 and end on April 30 of the subsequent year.

7.0 EXECUTIVES TERM IN OFFICE
WIPIT executives shall remain in office for the academic year.

8.0 PROVISIONS FOR AMENDING CONSTITUTION
8.1 Any amendment to this Constitution may be proposed by a petition of a member or members of WIPIT.
8.2 A proposed amendment must be submitted in writing to the President, Vice-President or Secretary.
8.3 At the next meeting of the club, if held within a week of the submission of the proposal, or at a Special Meeting of the club to be called within that week if no council meeting is scheduled, the executive shall ensure that the proposed amendment be an item on the agenda and shall advise the person or persons proposing the amendment accordingly.
8.4 At that meeting of WIPIT, the proponent(s) of the proposed amendment may present the reasons for the amendment.
8.5 After discussing the proposal, WIPIT members shall first vote to determine whether to call a referendum of the membership to decide the issue.
8.6 In the event that the motion to have a referendum is defeated, a referendum shall in any event be carried out by WIPIT members if requested by petition on at least 20 percent of the club membership.
8.7 An informational meeting to discuss the proposed amendment shall be presided over by the President within two weeks of the decision (per para 8.5 or 8.6) to hold the referendum.
8.8 WIPIT shall hold a referendum by secret ballot no later than three school days following the meeting detailed in para 8.7.
8.9 An amendment shall be deemed to have been adopted if it receives the support of a simple majority (51%+) of WIPIT membership.

9.0 REGULAR MEETINGS
The club shall endeavour to schedule regular meetings throughout each term as desired by WIPIT members.

10.0 QUORUM
Quorum shall consist of one-third of all current WIPIT members.
